Terms of Service

These Terms of Service ("Terms") govern any engagement between EvolvAI Solutions ("EvolvAI," "we," "us," or "our") and a client ("you" or "Client") for the design, build, and maintenance of AI-driven business automation systems, including lead response, scheduling, invoicing, document management, social publishing, reporting, and review-management workflows. By engaging us or using our website, you agree to these Terms.
1. Services
We provide custom automation systems built on top of your existing tools and infrastructure (CRM, WhatsApp Business, calendars, accounting software, e-commerce platforms, etc.) on a "zero lock-in" basis. The specific scope, deliverables, timeline, and pricing for an engagement are set out in a separate proposal, scope document, or invoice agreed with you, which forms part of these Terms.
2. Client Responsibilities
- You warrant that you have the lawful right to provide us access to your business systems, tools, and any data (including customer data) needed to build and operate the automation.
- You are responsible for obtaining any consents required from your own customers under applicable law (including the DPDPA, 2023) before that data is processed through an automation we build.
- You will provide timely access, credentials, and information reasonably required for us to deliver the engagement.
- You remain the owner and controller of your business data at all times; we do not claim ownership over it.
3. Fees & Payment
Fees are as set out in the applicable proposal or invoice. Unless agreed otherwise in writing, invoices are due within the timeframe stated on the invoice. Late payments may result in pausing of active work or automation services until settled. Fees already paid for completed work are non-refundable, except where required by law or expressly agreed otherwise.
4. Intellectual Property
Automation workflows, configurations, and scripts we build for you become yours to use for your business upon full payment, since they run on your own infrastructure. We retain ownership of our underlying methods, templates, reusable components, and know-how, and may reuse non-client-specific techniques and learnings across other engagements. We do not reuse your confidential business data or branding for any other client.
5. Confidentiality
Each party will keep the other's confidential business information private and use it only for purposes of the engagement, except where disclosure is required by law.
6. No Guarantee of Business Outcomes
We design automations to reduce manual work and improve operational efficiency, but we do not guarantee specific business outcomes such as revenue, conversion, or growth figures, as these depend on factors outside our control.
7. Third-Party Platforms
Our automations integrate with third-party platforms (e.g. WhatsApp/Meta, Google, calendar/booking systems, CRMs, accounting tools, e-commerce platforms). We are not responsible for outages, policy changes, pricing changes, or feature removals by these third parties that affect the automation's performance. Where reasonably possible, we will help adapt the automation to such changes as part of an ongoing engagement.
8. Limitation of Liability
To the fullest extent permitted by law, EvolvAI's total liability arising out of or related to an engagement shall not exceed the fees paid by you for that engagement in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data, except where such limitation is not permitted by applicable law.
9. Termination
Either party may terminate an ongoing engagement with written notice as set out in the applicable proposal, or otherwise with thirty (30) days' written notice. Fees for work completed up to the termination date remain payable. Since our automations are built on your own infrastructure, you retain full use of completed deliverables after termination.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising from these Terms or an engagement with us.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. For active engagements, the Terms in effect at the time of signing the proposal/scope document will continue to apply unless both parties agree to new terms in writing.
